You upgrade Toolbox as part of a SOLIDWORKS upgrade, using the SOLIDWORKS Installation Manager.
Two upgrade scenarios are provided:

Use Upgrading to Manage Toolbox Entirely in the Vault when you have managed Toolbox with Enterprise PDM prior to the 2010 release, and want to change to complete Toolbox integration.
- Use Ongoing Toolbox Upgrades after you have set up Toolbox to be managed completely in the vault.
